Startly Capital is the operating name of Startly Inc. (Ontario), an Exempt Market Dealer registered under applicable securities legislation in Ontario, British Columbia, Alberta and Saskatchewan (NRD #70440).
As a registered exempt market dealer, we conduct exempt market distributions in accordance with applicable securities laws and our obligations as a registrant. We are committed to maintaining a culture of compliance, sound governance, and investor protection through disciplined supervisory practices and documented compliance procedures.
Startly Capital is led by an experienced corporate and securities lawyer whose practice has focused on securities regulation, exempt market financings, and private investment funds. That experience informs our approach to dealer operations, including issuer due diligence, product review, know your client (KYC), know your product (KYP), suitability determinations, conflict of interest management, and ongoing supervisory oversight.
We work with issuers that recognize the importance of regulatory compliance, accurate disclosure, and transparent communication with investors. Our objective is to facilitate exempt market transactions in a manner that is consistent with our regulatory obligations while supporting informed investment decisions.
Startly Capital currently accepts investments from eligible investors resident in Ontario, British Columbia, Alberta, and Saskatchewan, subject to applicable securities laws and our internal onboarding, due diligence, and suitability requirements.
Nick Wright, CEO & CCO
Nicholas dePencier Wright has over 17 years of experience practising corporate and securities law, with a focus on private capital markets, exempt market financings, investment funds, and securities regulatory compliance. Throughout his legal career, he has advised issuers, investment funds, exempt market dealers, and other market participants on securities law, exempt distributions, corporate transactions, and regulatory obligations.
Nick is licensed to practise law in Ontario, California (inactive), and Texas. He holds a Juris Doctor (JD) and Master of Business Administration (MBA) from Dalhousie University, a Master of Laws (LLM) in Taxation from Osgoode Hall Law School, and an Honours Bachelor of Arts in Philosophy from the University of King’s College.
At Startly Capital, Nick serves as Chief Executive Officer (CEO), Ultimate Designated Person (UDP), Chief Compliance Officer (CCO), and Dealer Representative (DR), with responsibility for the firm’s governance, regulatory compliance, supervisory framework, and dealer operations.
